Linkage Assurance Shareholders Approve N30m Remuneration for Non-Executive Directors

Shareholders of Linkage Assurance Plc have approved N30 million as remuneration for the company’s non-executive directors for the financial year ending December 31, 2026.1

The decision was reached at the insurance company’s Annual General Meeting held in Lagos on August 12, 2026.

At the meeting, shareholders also approved the company’s audited financial statements for the year ended December 31, 2025, as well as the reports of the directors, auditors, audit committee and the board appraisal report.

The approvals formally endorsed the company’s 2025 financial reporting and corporate governance processes.

Shareholders also ratified the appointments of three directors previously appointed by the board.

They include Razack Falekulo, who was confirmed as an independent non-executive director, while Anthony Katchy and Suaye Banigo were ratified as non-executive directors.

The meeting further authorised the board to determine the remuneration of the company’s auditors for the 2026 financial year. Shareholders also took note of the remuneration paid to the company’s managers, as disclosed in the 2025 Annual Report.

The AGM also approved the election of three shareholders—Shamusideen Balogun, Sunday Orji and Esther Osijo—to represent members on Linkage Assurance’s Statutory Audit Committee.

Two directors, Maxwell Ebibai and Pius Otia, were also appointed to represent the board on the committee.

The expanded committee structure is expected to enhance shareholder involvement and strengthen board oversight of the company’s financial reporting and audit activities.

In another corporate governance decision, shareholders approved the appointment of the Society for Corporate Governance Nigeria as the company’s board evaluation consultant.

The consultant will assist in assessing the effectiveness of the board, its structure and the performance of its committees.

Board evaluations are an important part of corporate governance, particularly for listed companies, as they help identify areas for improvement and promote greater accountability.

The resolutions passed at the AGM underscore Linkage Assurance’s efforts to strengthen its governance framework while maintaining transparency and accountability to shareholders.
